## 1. Agreement
These Terms of Service ("Terms") govern all services provided by Keystone Property Services LLC ("Keystone," "we," "us," or "our") to you ("Client," "you," or "your"). By requesting an estimate, signing or approving a proposal, making a payment, or allowing us to begin work, you agree to these Terms. Your signed estimate or proposal, together with these Terms and any written change orders, forms the agreement between us.
## 2. Services
Keystone provides exterior property services including, but not limited to, lawn care, sod installation, fencing, retaining walls, hardscaping, paver and stone installation, drainage solutions, grading, and landscape design. The specific scope of your project is described in your written estimate or proposal.
## 3. Estimates and Proposals
- Estimates and proposals are valid for thirty (30) days from the date issued unless otherwise stated.
- Estimates are based on the scope, site conditions, and material costs known at the time of issuance. Pricing may be revised if actual site conditions, measurements, or material costs differ from those assumptions.
- Work is scheduled and confirmed only after you approve and sign the estimate or proposal and, where required, submit any requested deposit.
- By electronically signing or approving an estimate or proposal, you acknowledge that you have reviewed the described scope and pricing and agree to them.
## 4. Deposits and Payment
- A deposit (typically 30%–50% of the project total) may be required before work begins, as stated in your proposal. Deposits reserve your place on our schedule and cover initial materials.
- On larger projects, progress payments may be required at milestones described in your proposal.
- Final payment is due upon completion of the work unless other terms are stated in writing.
- Accepted payment methods include credit/debit card, check, and ACH/bank transfer, as offered at the time of invoicing.
- Invoices are due upon receipt unless otherwise stated. Balances not paid within thirty (30) days may be subject to a late charge of 1.5% per month (or the maximum rate permitted by North Carolina law) on the unpaid balance.
- Returned checks are subject to applicable bank and processing fees.
## 5. Changes and Additional Work (Change Orders)
Any change to the agreed scope must be documented in a written change order describing the additional work and cost. Work you request beyond the original scope will be billed accordingly. Unforeseen conditions discovered during the work — such as buried debris, rock, poor or unstable soil, existing drainage problems, or hidden utilities — that require additional labor or materials may result in a change order.
## 6. Property Access and Site Conditions
- You agree to provide safe, reasonable access to the work area, including access for our crew, vehicles, and equipment such as skid steers and excavators.
- Heavy equipment may cause incidental impacts to lawns, driveways, and other surfaces (such as rutting or tire marks). We take reasonable care to minimize this, but some disturbance of the surrounding area is a normal part of excavation and hardscape work.
- You are responsible for removing or securing personal property, vehicles, and pets from the work area before we begin.
## 7. Underground Utilities and Private Lines
- Before excavation, Keystone will request a public utility locate through North Carolina 811 as required by law. Public locates mark public utilities (such as gas, electric, cable, and public water/sewer mains) up to the meter or public connection point.
- Public locates do NOT mark private underground lines. You are responsible for identifying and disclosing to us, in writing before work begins, the location of any private or unmarked underground lines or structures on the property. These include, but are not limited to: private water service lines beyond the meter, irrigation/sprinkler systems, invisible or electric pet fences, low-voltage and landscape lighting wiring, septic tanks and drain fields, private electric or gas lines to outbuildings or pools, geothermal loops, and drainage or downspout lines.
- Keystone is not responsible for damage to private, unmarked, or undisclosed underground lines or structures that were not identified to us in writing before work began, or for lines marked inaccurately by the 811 locate service. Repair of such damage, if you request it, will be billed as additional work.
## 8. Permits, HOA, and Property Lines
- Unless expressly included in your proposal, you are responsible for obtaining any required permits, HOA architectural approvals, easement clearances, and property-line surveys.
- You represent that the work is being performed within your property lines and that you have authority to authorize it. Keystone relies on boundaries as you identify them or as shown on a survey you provide, and is not responsible for encroachments resulting from inaccurate boundary information.
- If a permit or HOA denial affects the project after work is scheduled or begun, related costs remain your responsibility.
## 9. Warranties
- Workmanship: Keystone warrants its workmanship on installation projects for one (1) year from the date of completion against defects in workmanship under normal use and conditions, unless a different period is stated in your proposal.
- Materials: Manufactured materials (such as fencing, pavers, and drainage components) carry only the warranty provided by their manufacturer, which is passed through to you. Keystone makes no separate warranty on materials.
- Plants, sod, and seed: Because plant material is living and depends on watering, weather, soil, and maintenance beyond our control, plants, sod, and seed are warrantied only if a written watering/maintenance plan is provided and followed, and any such warranty is limited as stated in your proposal. Absent a written plant warranty, plant material, sod, and seed are provided without warranty.
- This warranty does not cover damage from misuse, neglect, lack of maintenance or watering, alterations by others, ground movement or settling, drainage originating from adjacent properties, severe weather, acts of nature, or normal wear, fading, or weathering.
- Warranty service requires that your account be paid in full.
## 10. Weather, Scheduling, and Delays
Outdoor work is weather-dependent. We may reschedule due to rain, frozen or saturated ground, or unsafe conditions. Keystone is not liable for delays caused by weather, material availability, subcontractors, utility-locate delays, permitting, or other causes beyond our reasonable control (force majeure). We will make reasonable efforts to keep you informed of schedule changes.
## 11. Subcontractors
Keystone may use qualified subcontractors or partner providers for portions of the work (for example, fertilization, weed control, and pest control applications). Keystone remains your primary point of contact.
## 12. Insurance
Keystone carries general liability insurance. Proof of insurance is available upon request.
## 13. Limitation of Liability
To the fullest extent permitted by law, Keystone's total liability arising out of or related to the services is limited to the amount you paid for the specific work giving rise to the claim. Keystone is not liable for indirect, incidental, consequential, or special damages. Nothing in these Terms limits any liability that cannot be limited under North Carolina law.
## 14. Indemnification
You agree to indemnify and hold Keystone harmless from claims, damages, or expenses arising from inaccurate information you provide (including property boundaries and undisclosed underground lines), your failure to obtain required permits or approvals, or your breach of these Terms.
## 15. Cancellation and Rescheduling
- You may cancel or reschedule scheduled work by contacting us at least 48 hours in advance.
- If you cancel after materials have been ordered or custom-fabricated, you are responsible for the cost of those materials and any restocking fees.
- Deposits may be non-refundable to the extent they cover work already performed or materials already ordered, as described in your proposal.
- For services solicited at your residence, you may have the right to cancel within three (3) business days under applicable North Carolina law. Any such cancellation must be provided to us in writing.
## 16. Photographs and Marketing
Keystone may photograph or video completed work for portfolio, website, and marketing use. Such images will not include personally identifying information (such as house numbers or names) without your consent. Let us know in writing if you prefer that we not use images of your project.
## 17. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of North Carolina. Any dispute arising under these Terms will be brought in the state or federal courts located in Harnett County, North Carolina, or in the county where the work was performed. The parties agree to attempt to resolve any dispute in good faith before filing a claim. To the extent permitted by law, the prevailing party in any action to collect amounts owed may recover reasonable costs and attorney's fees.
## 18. General
- Entire Agreement: These Terms, together with your signed estimate or proposal and any written change orders, are the entire agreement between us and supersede prior discussions.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Assignment: You may not assign this agreement without our written consent.
- Updates: We may update these Terms; the version in effect when your proposal is signed governs your project.
